Swiss Resident Director Mandate

Swiss law requires at least one director resident in Switzerland with single signatory powers. We provide that mandate with the rigour, independence, and documentation expected by banks and regulators.

How we deliver this service

Article 718 of the Swiss Code of Obligations requires every AG and GmbH to be represented by at least one person resident in Switzerland with the authority to bind the company. For founders based abroad, this is a structural requirement, not a formality.

Our directors are experienced Swiss professionals with banking and corporate-services backgrounds. They attend the annual general meeting, sign routine corporate filings, review board resolutions, and act as the local point of contact for the Commercial Register, the tax authority, and your principal bank.

Mandates are scoped before acceptance. We decline activities that fall outside our risk appetite (sanctioned jurisdictions, certain unregulated investment models). For FINMA-licensed business or activities requiring a board of directors with specialised expertise, pricing and structure are agreed individually.
